We hereby confirm with full corporate authority and legal responsibility, under penalty of perjury, that we are ready, willing and able to sell Gold Bar/Dust AU presently in our possession physically or legally, as described below and we further attest that the Gold Dust is clear, clean and of non- criminal origin.

Below is the reference of our offer and trade terms and conditions for the first transaction. We will provide the contract specimen for buyer to review and endorsement as soon as we receive buyer�s positive response,

COMMODITY DESCRIPTION AND SPECIFICATIONS:

a) � Commodity : Aurum Utalium (AU)

b) � Form �: Gold BAR

c) � Purity : 98. % plus - after refinery

d) � Fineness : �22.4 carats

e) � Assay : Final assay to be made by the buyer�s refinery and this assay�s value will be accepted by both buyer and Seller.

f) � Origin : Guinea Conakry

g) � Price �: $30 000 USD / Kg

h) � Quantity : 250 kg per month

DELIVERY TERMS :

a) The Gold Bar shall be picked up at the Sellers location in Guinea, Africa or as designated by Buyer in a written notice (hereafter the Pick up Destination )

b) Quality control is satisfied in seller�s country, performed at SELLER� OFFICE in Guinea.

c) After the Refinery and upon Refinery House confirmation, the Gold shall pass to the account of the Buyer and shall not be transferred to any other entity other than to the Buyer�s, subject to payment as provide hereunder.

d) The export taxes, export documentation, freight cost and other expenses during exportation to the buyer�s location, are on the account of the Buyer.

e) Buyer is responsible to deliver the Gold to his destination Refinery. Seller will provide all the necessary documents to the buyer in order to transfer the Gold from the Destination Airport to the buyer Refinery.

f) The import customs, VAT taxes and other applicable taxes in destination Airport, are on the account of the buyer.

g) Buyer is responsible for all charges from the Destination Airport to the Refinery.

DOCUMENTATION :

Full set of documents to be presented by the SELLER to the BUYER:

Four (4) original invoices made out to the Buyer

Certificate of quality control from country of origin (assay)

Certificate of Origin

PAYMENT TERMS :

Upon satisfactory completion of the refining at BUYER�s Refinery �the payment to the Seller shall be made by Bank Wire Transfer to the Sellers bank account within 72 Hours and simultaneous transfer of title of Gold to the buyer.

I hereby undersign that all information in this full cooperate offer are nothing but the truth and is applicable in the contract and other agreements concerning this transaction.
