FORMAL CORPORATE OFFER FOR PURCHASE OF GOLD (AU METAL)

Allowed me to introduce myself,my name is Francis Laryea,the managing directer
of ODOI INVESTMENTS (GH) LTD.This Company was incorporated in Ghana and
initially commenced Business as a small scale Gold Mining Venture in Ghana in
the year 1995,after which it acquired a 56.13sg kilometer Large scale mining
concession situated at kibi in the Eastern Region of Ghana classified as
kibi-Winneba gold belt according to Ghana geological Survey Map.In this
regard,we are in the position to supply in dust form (ALLUVIAL) to any
prospective overseas buyer who in turn could assist us acquire needed
plant,machinery and equipment-i.e.,playing the role of Sponsor / Financier
towards the exploration of the huge gold deposit discovered in our concession in
the line with the Minerals and Mining Law of Ghana (1986)PNDCL-153

.1.PRODUCT - A.U Metal (Alluvial Gold Dust) in raw form.

2.QUALITY - Not less than 22 carat with a minimum purity of 92% or better.

3.QUANTITY - 400 KG available now and can supply 50kg monthly thereafter.

4.METHOD OF TESTING / ASSAYING - Samples are to be picked randomly by the buyer
or his respective for analysis at any recognize Laboratory in Ghana.After
testing consignment will be sealed in the presence of both buyer and the seller
and deposited either in a recognized Bonded Warehouse or a Bank for
safekeeping,pending processing and completion of relevant shipping documents.

5.PRICE - US $8500 PER KILO

6.TERMS OF PAYMENTS - 15% to be paid by the buyer to the seller in Ghana by
SWIFT / TELEPHONE TRANSFER after testing / assaying had proved good.Part of this
initial payment it to procure the official documents such as:

a)Customs & Excise Duty.

b)Export Permit obtained from the Ghana Geological Survey Department.

c)Ministry of Mines & Energy fee and Minerals Commissions (Stool / Royalties)
Airfreight / Security Handing Charge,with the remaining 85% to be paid to
sellers representative will,of course,accompany the Merchandise to witness
further refinery / analysis to be carried out abroad.

This will also enable the buyer assist the Seller to arrange for plant,machinery
and equipment needed for the project expansion.
